SNVRK IMAGES License Agreement

This agreement is between SNVRKOTICS LLC, a Delaware limited liability company ("Licensor"), and the person or organisation named as licensee on a License issued through https://snvrkimages.com ("Licensee").

It is formed when Licensor issues a License. A License is the document identified by a license number beginning SNVRK-IM-, issued on payment of the fee for a tier, and verifiable at the address printed on it. The License states the image, the tier, the media, the territory, the term, the exclusivity and the delivered resolution; this agreement supplies the terms those words are used under.

Where a License and this agreement differ, the License governs for the image it names.

"Image" means the photograph named on the License, in the file delivered under it and in any copy or reproduction of that file.

"Tier" means one of the license types published at the licensing page on the day of purchase, each with a stated fee, media, territory, term, exclusivity and delivered resolution.

"Project" means the use named on the License, where one is named.

"Editorial use" means use in reporting, commentary, criticism, education or other non-commercial illustration of a subject of public interest, where the Image is not used to promote a product, service, cause or person.

"Commercial use" means any use that is not Editorial use, including advertising, marketing, promotion, packaging, merchandise and endorsement.

On payment of the fee, Licensor grants Licensee a non-exclusive, non-transferable, worldwide, perpetual license to reproduce and display the Image in the media stated on the License, for the Project where one is named, on the terms of this agreement.

Licensee may permit a printer, developer, agency or platform acting for Licensee to handle the Image for the purpose of the licensed use. Licensee may not otherwise sublicense, lend, rent, sell or transfer the Image or this license.

The delivered resolution is the tier's. A tier that delivers a reduced file licenses the Image at that size and does not license any larger copy, however obtained.

Uses not stated on the License are not licensed. A use outside the media, territory or term stated needs a further License, which Licensor may issue on the published terms or on custom terms.

An Image is editorial-only where a person is recognisable in it and Licensor holds no verified model release, or where private property is identifiable in it and Licensor holds no verified property release. The image page states whether an Image is editorial-only, and Licensor's checkout refuses a tier that conveys commercial rights for such an Image.

An editorial-only Image is licensed for Editorial use only, in every tier. Licensee must read the image page before use and is responsible for confirming that its intended use is Editorial use.

No license from Licensor supplies the consent of a person depicted or the owner of property depicted. Where Licensee's use needs such consent, obtaining it is Licensee's responsibility.

Where a credit is customary in the medium, Licensee will credit the Image as "Photograph: SNVRKOTICS" adjacent to it or in the medium's standard credit position. Licensee will not remove, obscure or alter the credit, copyright notice or licensing metadata embedded in the delivered file.

Licensee will not: (a) sell, license or distribute the Image as an image, or include it in a stock library, template, print-on-demand product or any product in which the Image is the thing sold; (b) use the Image as a trademark, logo or brand asset, or apply to register any such mark; (c) use the Image in a context that is pornographic, defamatory or unlawful, or that a reasonable person would find degrading to a person depicted; (d) use the Image so as to state or imply that a person depicted endorses a product, service, cause or opinion; (e) use the Image, or any copy or derivative of it, to train, fine-tune, evaluate or prompt a machine-learning or artificial-intelligence model, or include it in any dataset assembled for that purpose; (f) alter the Image so as to change what it depicts, while retaining Licensor's credit; (g) remove or alter the metadata embedded in the delivered file.

Ordinary cropping, colour correction and resizing for the licensed use are permitted.

Licensor grants the following a free, worldwide, non-exclusive license to use its published photographs for Editorial use: News Corp and any of its subsidiaries and affiliated titles; Fox Corporation and any of its subsidiaries; TMZ. That grant is a License under this agreement, on the same terms, with the credit "Photograph: SNVRKOTICS" as the whole of the consideration.

A use under the press grant without the credit is an unlicensed use. The grant covers news reporting, commentary and the editorial pieces around them, in print, digital, broadcast and the title's own social posts, for the life of the piece, and archival retention of the piece. It does not cover advertising, sponsorship, merchandise, redistribution or relicensing, or use as a mark. Clause 4 applies to it in full.

The Image and all copyright and other rights in it remain Licensor's. This agreement licenses use and transfers nothing. Licensee acquires no right to register, claim or enforce any right in the Image.

Licensor warrants that it owns the copyright in the Image, or is authorised to license it, and that the licensed use will not infringe the copyright of any third party.

Licensor gives no warranty that any person or property depicted has consented to any use, except where the image page states that a verified release is on file, and then only to the extent of that release.

Except as stated in this clause, the Image is licensed as is, and Licensor gives no other warranty, express or implied, including as to fitness for a purpose.

Licensor's total liability to Licensee under or in connection with a License, however arising, is limited to the fee paid for that License.

Neither party is liable to the other for loss of profit, revenue, business or goodwill, or for any indirect or consequential loss, however arising.

Nothing in this agreement limits liability for fraud or for anything that cannot be limited by law.

Licensee will indemnify Licensor against any claim, loss, damage and reasonable cost arising from a use of the Image outside the terms of this agreement or the License, including a use of an editorial-only Image for Commercial use.

A License is perpetual unless terminated under this clause.

Licensor may terminate a License by written notice if Licensee breaches this agreement and, where the breach can be remedied, does not remedy it within fourteen days of notice. On termination Licensee will stop every further use of the Image and delete the delivered file; copies already lawfully embodied in a published work at the date of termination may remain in that work.

Clauses 6, 8, 9, 10, 11, 14 and 15 survive termination.

Every License can be verified at https://snvrkimages.com/license/ followed by its number. The verification page shows the image, the tier, the licensee, the date and the status. Licensor keeps a record of each License for as long as the license subsists and for the period the law requires after.

This agreement and every License are governed by the law of the State of Delaware, without regard to its conflict-of-laws rules. The state and federal courts sitting in Delaware have exclusive jurisdiction over any dispute arising from them, and each party submits to that jurisdiction.

This agreement and the License are the entire agreement between the parties for the Image and replace any earlier terms. A change to this agreement applies to Licenses issued after the change; a License is governed by the version in force on its date of issue, which the License names.

If a clause is held unenforceable it is severed and the rest stands. Licensor may assign this agreement to a successor to its photography business; Licensee may not assign it. A failure to enforce a term is not a waiver of it.
