Archive Representation Agreement

Version 2026-10-10. This text has not been reviewed by counsel. Until it has, there is no online acceptance: an agreement on this version is signed on paper, and you are welcome to have your own lawyer read it first.

The short version

  • You keep the copyright. Nothing transfers, assigns or encumbers it. Clause Creator keeps the copyright
  • No exclusive, perpetual or advertising use without your written approval, each time. Clause What Agent may not do without approval
  • 60% of gross license fees to you, paid within 30 days of each quarter's end, with a statement listing every license. Clause Money
  • Audit the records once a year on 30 days' notice. An underpayment over 5% means we pay for the audit. Clause Money

  • SNVRKOTICS LLC represents rights and licenses as the rights holder. It is not a law firm, does not give legal advice, and refers enforcement to partner attorneys at your direction. Clause Enforcement

1. Parties and what this is

This agreement is between SNVRKOTICS LLC, a Delaware limited liability company ("Agent"), and the creator named on the signature page or in the online acceptance record ("Creator"). It takes effect on the date of the last signature or of the online acceptance (the "Effective Date").

Creator owns a body of photographic or audiovisual work (the "Archive"). Creator wants it preserved, cataloged and licensed. Agent does that work and licenses the Archive on Creator's behalf.

2. Definitions

"Archive" means the works Creator places under this agreement: the entire archive, or only the works listed in Schedule A, as the Scope clause says.

"Catalog" means the copies, fingerprints, metadata, descriptions, keywords and index Agent builds from the Archive.

"License" means a grant Agent makes to a third party to use a work from the Archive, on terms stated in writing.

"Gross license fees" means the amounts a licensee pays for a License, before any deduction.

"Program" means the representation program Agent operates under the name SNVRKOTICS RIGHTS.

4. What Agent will do

Agent will: (a) copy the Archive from Creator's media to redundant storage, at Agent's cost; (b) catalog every file: fingerprint, metadata extraction, description, keywords; (c) build and maintain a searchable index; (d) identify and record rights information: subjects, releases, clearance status; (e) prepare and file copyright registrations in Creator's name, at Agent's cost; (f) market and license the Archive; (g) monitor for unlicensed third-party use and report it to Creator; (h) provide Creator a complete copy of the digitized and cataloged Archive, at any time, on request.

5. What Agent may not do without approval

Agent may not, without Creator's prior written approval in each instance: (a) grant any exclusive license; (b) grant any license in perpetuity or any buyout of all rights; (c) license any work for advertising or endorsement use; (d) publish, post or display any work publicly outside of the licensing index; (e) alter, crop or materially edit any work beyond ordinary correction; (f) sublicense or assign its rights under this agreement.

No exclusive license is granted without that approval. Agent's licensing software refuses to issue an exclusive, perpetual or advertising License on Creator's work until Creator's approval of that request is recorded.

6. Scope

Exclusivity of representation, territory and covered works are chosen on the signature page: exclusive or non-exclusive representation; worldwide or a named territory; the entire Archive or only the works listed in Schedule A.

Unless the signature page says otherwise, representation is exclusive, worldwide, and covers the entire Archive. Exclusive representation means Agent is Creator's only licensing agent for the Archive during the term. It does not make any License exclusive; clause 5 governs that.

7. Money

Agent collects license fees and remits Creator's share.

Creator receives 60% of gross license fees.

Agent pays its own costs out of its share. Agent does not deduct expenses from gross before the split, except third-party costs Creator approves in writing in advance.

Agent remits within 30 days of the end of each calendar quarter.

Each remittance comes with a statement listing every license issued in the quarter: the work, the licensee, the use, the fee, and the calculation.

Creator may audit Agent's records once per calendar year on 30 days' notice. If an audit finds an underpayment over 5%, Agent pays for the audit.

8. Term and getting out

Initial term: 5 years from the Effective Date.

Renews for successive one-year terms unless either party gives written notice at least 60 days before the end of the then-current term.

Either party may terminate at any time on 90 days' written notice.

On termination, for any reason: Agent delivers to Creator the complete digitized, cataloged Archive and all metadata, in an open format, at no charge. Agent's licensing rights end immediately as to new licenses. Licenses already granted stay in force for their stated term, and Creator's revenue share continues to be owed and paid on them. Agent deletes its copies within 90 days, except records it must keep for tax, legal or existing-license purposes.

9. Creator's promises

Creator represents that Creator owns or controls the copyright in the Archive and has the right to enter this agreement, and that to Creator's knowledge the Archive does not infringe anyone else's rights.

Creator will tell Agent of any work that is subject to a prior exclusive license, agency agreement or dispute.

10. Enforcement

If Agent finds unlicensed use, Agent reports it to Creator with the evidence.

Creator decides whether to pursue it. Agent takes no action without Creator's written direction.

If Creator chooses to pursue, Creator engages counsel. Agent is not a law firm, does not provide legal advice, and does not represent Creator in any legal matter. At Creator's direction, Agent may refer the matter to a partner attorney; any engagement is between Creator and that attorney.

Any recovery is split as in clause 7 unless the parties agree otherwise in writing before action is taken.

11. Confidentiality

Neither party discloses the other's non-public business information. Agent does not disclose unpublished works without Creator's consent.

12. Relationship and general terms

Independent contractors. Nothing here creates a partnership, employment or joint venture.

Entire agreement. This replaces anything said before it. Changes must be in writing and signed by both parties.

Notices go by email with confirmation of receipt, or by certified mail. Notices to Agent go to legalteam@snvrkotics.com; notices to Creator go to the email on the signature page or acceptance record.

Severability. If any part is unenforceable, the rest survives.

13. Governing law

Governing law: State of [to be completed].

Venue: [to be completed].

Schedule A. Covered works

Attach the catalog export, or describe the Archive: date range, approximate volume, media, subject matter.

Where the Scope clause selects the entire Archive, Schedule A is the Catalog as it stands on any day, and a work added to the Catalog later is covered from the day it is added.
